Agreement to Terms

Welcome to Hibiki Voice and Guitar. These Terms of Service ("Terms") constitute a legally binding agreement between you and Hibiki Voice and Guitar ("Company," "we," "us," or "our") governing your access to and use of our music instruction platform, booking services, studio facilities, and related services (collectively, the "Services").

By creating an account, booking a lesson, accessing our website, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of the modified Terms.

Eligibility and Account Requirements

You must be at least 13 years old to use our Services. Users between 13 and 18 years old must have parental or guardian consent and supervision. By using our Services, you represent and warrant that you meet these age requirements and have the legal capacity to enter into this agreement.

Account creation requires accurate and complete information, including your name, email address, phone number, and payment details. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach. We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

Lesson Booking and Scheduling

Our platform facilitates connections between students and independent music instructors. When you book a lesson, you are entering into a direct agreement with the instructor for educational services. Hibiki Voice and Guitar acts as an intermediary platform and booking service but is not the direct provider of music instruction.

Lesson bookings are subject to instructor availability and confirmation. You will receive a booking confirmation via email once an instructor accepts your lesson request. Lesson times are displayed in Japan Standard Time (JST). You are responsible for ensuring you attend lessons at the correct time, accounting for any time zone differences if booking from outside Japan. Online lessons require stable internet connectivity and appropriate equipment, which are your responsibility to provide.

Payment Terms and Pricing

All prices are displayed in Japanese Yen (¥) and include applicable consumption taxes unless otherwise stated. Payment is required at the time of booking for single lessons or upon purchase of lesson packages. We accept major credit cards, debit cards, and other payment methods as indicated on our platform.

Lesson packages have expiration periods as specified at the time of purchase. Unused lessons in expired packages are forfeited without refund unless otherwise agreed in writing. We reserve the right to modify pricing for future bookings with reasonable notice. Price changes do not affect already-purchased lesson packages. Payment processing is handled through secure third-party payment processors, and you agree to their terms of service in addition to ours.

Cancellation and Rescheduling Policy

You may cancel or reschedule lessons with at least 24 hours notice before the scheduled lesson time without penalty. Cancellations or rescheduling requests made less than 24 hours before a lesson will result in forfeiture of that lesson credit or payment. No-shows without prior notice will result in full forfeiture of the lesson fee.

Instructors may cancel lessons due to illness, emergencies, or unforeseen circumstances. In such cases, you will receive a full refund or rescheduling option at no additional cost. We strive to provide advance notice of instructor cancellations whenever possible. Weather-related cancellations for in-person lessons follow the same rescheduling policy without penalty to either party.

Refund and Dispute Resolution

Refunds are generally not provided for completed lessons or lesson packages, except in cases of service failure, instructor misconduct, or as otherwise specified in these Terms. Requests for refunds must be submitted in writing to support@tovrenbrook.com within 14 days of the incident giving rise to the refund request.

We will investigate refund requests promptly and respond within 10 business days. Approved refunds will be processed to the original payment method within 14 business days of approval. Partial refunds may be granted for unused lessons in packages under exceptional circumstances at our sole discretion. Chargeback requests filed without first attempting to resolve issues through our support team may result in immediate account suspension and forfeiture of remaining lesson credits.

User Conduct and Responsibilities

You agree to conduct yourself professionally and respectfully when interacting with instructors, staff, and other students. Harassment, discrimination, threatening behavior, or inappropriate conduct of any kind will not be tolerated and may result in immediate account termination without refund.

You must arrive punctually for all scheduled lessons. Late arrivals do not extend lesson duration or entitle you to makeup time. You are responsible for having necessary materials, instruments, and equipment as recommended by your instructor. For online lessons, you must ensure a quiet, appropriate environment conducive to learning. Recording lessons requires explicit consent from your instructor, and unauthorized recording, distribution, or commercial use of lesson content is strictly prohibited.

Instructor Relationship and Liability

Instructors on our platform are independent contractors, not employees or agents of Hibiki Voice and Guitar. While we carefully vet and verify all instructors, we do not directly control or supervise the methods, techniques, or content of individual lessons. Instructors maintain professional liability for the instruction they provide.

We facilitate connections and provide administrative support but cannot guarantee specific learning outcomes or results. Musical progress depends on numerous factors including practice time, natural ability, and individual effort. We encourage open communication between students and instructors to ensure satisfaction and address any concerns promptly. Instructor ratings and reviews help maintain service quality across our network.

Studio Facilities and Safety

When using our studio facilities in Nakameguro, you must comply with all posted rules, safety guidelines, and equipment usage instructions. You are responsible for any damage to studio equipment, instruments, or property caused by your negligence or misuse. We reserve the right to charge repair or replacement costs for damaged items.

Studio access is limited to booked time slots and authorized users only. You may not bring unauthorized guests into studio spaces without prior arrangement. Smoking, alcohol, and illegal substances are strictly prohibited in all studio areas. You must follow all fire safety and emergency evacuation procedures. We maintain liability insurance for studio facilities, but you are encouraged to maintain personal property insurance for instruments and equipment you bring to our facilities.

Intellectual Property Rights

All content on our platform, including text, graphics, logos, images, software, and course materials, is the property of Hibiki Voice and Guitar or its licensors and is protected by Japanese and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.

Practice materials, recordings, and curriculum provided through our Services are for your personal, non-commercial use only. Instructors retain ownership of their teaching materials and methodologies. Any content you create during lessons, such as recordings or compositions, may be subject to shared intellectual property rights depending on the nature and circumstances of creation. Discuss ownership rights with your instructor if you plan to use lesson content commercially.

Privacy and Data Protection

Your use of our Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy. We implement industry-standard security measures to protect your information but cannot guarantee absolute security.

You are responsible for maintaining the privacy of your account credentials. Do not share your login information with others or allow unauthorized access to your account. We may collect and analyze usage data to improve our Services, and we may use anonymized, aggregated data for research and marketing purposes. Communication between students and instructors through our platform may be monitored for quality assurance and safety purposes.

Limitation of Liability

To the maximum extent permitted by Japanese law, Hibiki Voice and Guitar, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of our Services, including but not limited to loss of profits, data, goodwill, or other intangible losses.

Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve months preceding the claim. Some jurisdictions do not allow certain liability limitations, so these limitations may not apply to you. We do not warrant that our Services will be uninterrupted, error-free, or completely secure. You use our Services at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless Hibiki Voice and Guitar, its affiliates, instructors, and service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of our Services; (c) your interactions with instructors or other users; (d) your violation of any third-party rights; or (e) any false or misleading information you provide.

This indemnification obligation survives termination of your account and these Terms. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.

Before initiating formal legal proceedings, you agree to first attempt to resolve disputes through good faith negotiations with our customer support team. We are committed to fair and prompt resolution of all disputes. If negotiations fail, you may pursue legal remedies through appropriate channels. Class action lawsuits and jury trials are expressly waived to the extent permitted by law.

Service Modifications and Termination

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice. We may perform maintenance, updates, or improvements that temporarily affect service availability. We will make reasonable efforts to notify users of significant changes or extended outages.

We may terminate or suspend your account and access to Services immediately, without prior notice or liability, for any reason, including breach of these Terms, fraudulent activity, or conduct that harms our reputation or other users. Upon termination, your right to use the Services ceases immediately. Termination does not relieve you of obligations incurred before termination. You may terminate your account at any time by contacting customer support, subject to our cancellation and refund policies.

General Provisions

These Terms constitute the entire agreement between you and Hibiki Voice and Guitar regarding your use of our Services and supersede all prior agreements and understandings. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. You may not assign or transfer these Terms or your account to any third party without our written consent. We may assign these Terms or any rights hereunder without restriction. Section headings are for convenience only and do not affect interpretation. These Terms may be executed in multiple languages for convenience, but the English version shall prevail in case of any inconsistencies.
